These Terms & Conditions (“Terms”) govern your access to and use of our website, accounts, online video processing tools, digital services, paid features, subscriptions where offered, and related services (collectively, the “Services”).

Our Services may include video conversion, video compression, video trimming and cutting, video-to-GIF conversion, and other related digital media processing functionality.

By accessing or using the Services, creating an account, or purchasing a paid Service, you agree to these Terms.

If you do not agree with these Terms, you must not use our Services.

Nothing in these Terms is intended to exclude or restrict any rights that cannot lawfully be excluded or restricted under applicable consumer protection law.

2. Agreement to These Terms

By accessing or using Torbisgo, you confirm that you have read, understood, and agreed to these Terms.

Torbisgo provides online digital media processing tools.

Depending on the functionality available at the relevant time, these Services may allow users to:

• convert videos between supported formats;
• compress video files;
• trim or cut video content;
• convert video files into GIF files;
• upload and process supported media files;
• access processed files;
• download processed output; and
• use other related media processing functionality.

We may introduce, modify, improve, replace, or discontinue individual features from time to time.

The exact functionality, supported formats, file-size limits, processing limits, prices, and other applicable conditions may be displayed on the relevant Service page or during checkout.

4. Licence to Use Our Services

Subject to your compliance with these Terms and our other applicable policies, Torbisgo grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use our Services for lawful personal or internal business purposes.

This licence does not transfer ownership of Torbisgo’s website, technology, software, intellectual property, or other proprietary materials to you.

You may not use the Services in a manner prohibited by these Terms or our Acceptable Use Policy.

5. User Accounts

Certain Torbisgo features may require you to create or use an account.

Where an account is required, you agree to provide information that is reasonably accurate and current.

You are responsible for maintaining the confidentiality and security of your account credentials and for activities carried out through your account where reasonably attributable to your use or failure to protect those credentials.

You must not knowingly:

• share account credentials in a manner that violates the applicable Service terms;
• allow unauthorised users to access your account;
• impersonate another person;
• create accounts using fraudulent information;
• circumvent account restrictions; or
• use multiple accounts to evade usage, payment, or security controls.

6. User Content and Uploaded Media

6.1 Your Content

Our Services may allow you to upload videos or other supported media files (“User Content”).

As between you and Torbisgo, you retain any ownership rights that you hold in your User Content.

Uploading a file to Torbisgo does not transfer ownership of that file to us.

6.2 Licence Required to Process Your Content

By uploading User Content, you grant Torbisgo a limited, non-exclusive licence to host, copy, transmit, technically modify, process, convert, compress, trim, generate output from, and otherwise handle the User Content only to the extent reasonably necessary to:

• provide the Service requested by you;
• make processed output available to you;
• operate and secure our systems;
• diagnose technical problems;
• prevent fraud or abuse; and
• comply with applicable legal obligations.

This licence does not give Torbisgo ownership of your User Content.

6.3 Your Responsibility for Uploaded Content

You are responsible for ensuring that you have all rights, permissions, licences, consents, and legal authority necessary to upload and process User Content through Torbisgo.

You must not upload or process content that:

• infringes copyright or other intellectual property rights;
• violates privacy or confidentiality rights;
• contains unlawful material;
• contains malware or harmful code; or
• otherwise violates our Acceptable Use Policy.

7. Intellectual Property Rights

The Torbisgo website, brand, interface, graphics, design, software, source code, object code, databases, logos, trademarks, text, and other materials created or owned by Torbisgo are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms or applicable law, you must not:

• copy;
• reproduce;
• distribute;
• republish;
• sell;
• licence;
• reverse engineer;
• modify;
• create derivative works from; or
• commercially exploit

Torbisgo’s proprietary software, website materials, or technology without our prior permission.

Nothing in these Terms transfers any Torbisgo intellectual property rights to you.

8. Acceptable Use

You must use Torbisgo only for lawful purposes.

You must not use or attempt to use our Services to:

• commit or facilitate illegal activity;
• infringe intellectual property rights;
• process content you are not legally entitled to use;
• distribute malware or malicious code;
• gain unauthorised access to systems or accounts;
• conduct phishing, fraud, or identity theft;
• circumvent payment systems;
• bypass Service restrictions or rate limits;
• conduct denial-of-service attacks;
• excessively automate requests;
• scrape our Services without authorisation;
• interfere with the normal operation of our website or infrastructure; or
• facilitate other prohibited activities.

9. Payments

Certain Torbisgo Services may require payment.

Before you complete a purchase, we will make available the applicable price and relevant purchase information.

You are responsible for reviewing the applicable pricing and purchase details before confirming a transaction.

Payments may be processed through third-party payment service providers.

Those payment service providers may process payment information according to their own terms, privacy practices, security requirements, and applicable legal obligations.

Torbisgo may receive transaction-related information necessary to:

• confirm payment;
• provide purchased functionality;
• manage subscriptions where applicable;
• process refunds;
• respond to payment disputes;
• maintain financial records; and
• prevent fraud.

You must provide accurate billing information where such information is required.

10. Pricing

Prices for paid Services will be displayed on the relevant pricing, product, Service, or checkout page.

Prices may vary depending on the Service, plan, processing entitlement, subscription period, or other functionality selected.

Any mandatory fees or charges that we are responsible for displaying will be presented as required by applicable law before the transaction is completed.

UK consumer rules currently prohibit unfair commercial practices, including misleading pricing practices, and the relevant DMCC Act provisions have applied since 6 April 2025.

We may change prices for future purchases.

Any change to pricing will not retrospectively change a completed one-time purchase.

For recurring subscriptions, changes to future subscription charges will be handled in accordance with applicable terms and legal requirements.

11. Subscriptions and Recurring Payments

Where Torbisgo offers subscription plans, information such as:

• subscription price;
• billing frequency;
• included functionality;
• renewal arrangements; and
• cancellation options

will be provided before purchase where applicable.

Unless otherwise stated during purchase, cancellation of a recurring subscription generally prevents future renewals rather than automatically reversing charges for Services already properly supplied.

Any mandatory statutory cancellation or refund rights will continue to apply.

If we materially change the operation of a paid subscription, we will provide information or notice where required by applicable law.

The UK has enacted a new subscription-contract regime under the Digital Markets, Competition and Consumers Act 2024, but the government currently expects those specific subscription-contract rules to commence in Spring 2027.

12. Cancellation and Refunds

Cancellation and refund rights are governed by:

• applicable consumer protection law;
• these Terms;
• the terms disclosed at the time of purchase; and
• our Refund and Returns Policy.

Nothing in these Terms or our Refund and Returns Policy removes statutory rights that cannot lawfully be excluded.

For eligible UK online consumer contracts, statutory cancellation rights may apply, although the rules differ depending on whether the transaction concerns services, digital content, and whether performance or digital supply begins during the cancellation period.

Please review our Refund and Returns Policy before making a purchase.

13. Service Availability and Processing

We aim to provide reliable access to Torbisgo, but internet-based Services may occasionally be unavailable or experience delays because of:

• scheduled maintenance;
• emergency maintenance;
• server or infrastructure problems;
• network interruptions;
• software errors;
• security incidents;
• third-party service failures; or
• circumstances reasonably outside our control.

We do not guarantee that every Service will be available without interruption or error at all times.

We may temporarily restrict access where reasonably necessary to:

• perform maintenance;
• protect security;
• prevent abuse;
• resolve technical problems; or
• comply with legal obligations.

Where you are a consumer, nothing in this section removes any statutory rights or remedies that apply if a paid Service is not provided in accordance with applicable law.

14. Video Processing Results

The result of video processing may depend on factors including:

• the original file;
• file format;
• codec;
• resolution;
• file condition;
• selected processing options; and
• compatibility with the relevant device or software.

Compression, conversion, trimming, or format changes may affect technical characteristics of a media file.

You are responsible for reviewing the available processing options before submitting a processing request.

We recommend retaining a copy of important original files before submitting them for processing.

Nothing in this section excludes our obligation to provide consumer Services with the standard required by applicable law. Under the Consumer Rights Act 2015, a contract for services includes a requirement for the trader to perform the service with reasonable care and skill.

15. File Availability and Retention

Files uploaded to Torbisgo may be temporarily processed or retained as reasonably necessary to provide the requested Service.

The period for which uploaded or processed files remain available may depend on factors such as:

• completion of processing;
• availability of processed output;
• operational requirements;
• technical troubleshooting;
• security requirements;
• abuse prevention; and
• legal requirements.

We do not guarantee that uploaded or processed files will remain available indefinitely.

You should download and securely store any processed files that you wish to retain.

Our handling of personal data contained in uploaded files is described further in our Privacy Policy.

16. Third-Party Services

Torbisgo may rely on third-party providers to support certain aspects of our Services, including:

• payment processing;
• website hosting;
• infrastructure;
• security;
• email delivery; and
• other technical functionality.

We are not responsible for independent third-party websites that you choose to visit through external links.

Third-party services may be subject to their own terms and privacy policies.

Nothing in this section limits Torbisgo’s responsibility where applicable law makes us responsible for the performance of our contractual obligations.

17. Privacy

Your use of Torbisgo may involve the processing of personal data.

Our collection and processing of personal information are described in our Privacy Policy.

The Privacy Policy explains matters including:

• account information;
• uploaded media;
• transaction information;
• technical information;
• file retention;
• payment service providers;
• cookies and similar technologies;
• data sharing; and
• your data protection rights.

18. Sanctions and Legal Restrictions

You must not use Torbisgo where doing so would cause you or Torbisgo to violate applicable economic sanctions, trade restrictions, export controls, or other applicable legal requirements.

You represent that you will not knowingly use our Services on behalf of a person or organisation where doing so is prohibited by applicable sanctions laws.

Torbisgo may restrict, suspend, or terminate access where we reasonably believe that continued provision of Services would violate applicable sanctions or legal requirements.

For UK sanctions compliance, the UK Sanctions List is currently the official source for UK sanctions designations; since 28 January 2026 it has replaced the former OFSI Consolidated List as the sole UK designation list.

Where legally relevant, other applicable sanctions regimes may also be taken into account.

Any payment or refund affected by a legal restriction will be handled in accordance with applicable law and our Refund and Returns Policy.

19. Suspension and Termination

We may restrict, suspend, or terminate access to some or all of the Services where reasonably necessary because of:

• a material breach of these Terms;
• violation of our Acceptable Use Policy;
• fraud or suspected fraudulent activity;
• security threats;
• unauthorised access;
• payment abuse;
• attempts to bypass paid functionality;
• illegal activity; or
• applicable legal or regulatory requirements.

Where appropriate, we may provide notice or an opportunity to address the issue.

However, immediate restriction or suspension may be necessary where there is a serious security threat, suspected fraud, unlawful activity, or material risk to Torbisgo or other users.

The effect of termination on payments or refunds will be determined in accordance with our Refund and Returns Policy and applicable law.

20. Disclaimer of Certain Warranties

We do not promise that:

• every uploaded file will be compatible with every processing tool;
• every media format or codec will always be supported;
• the Services will be completely uninterrupted;
• every technical error can be prevented;
• processing will improve the quality of an original file; or
• the resulting file will be compatible with every third-party device, platform, or application.

These limitations do not exclude guarantees, obligations, warranties, or remedies that cannot lawfully be excluded.

In particular, consumer rights provided by applicable law continue to apply.

21. Limitation of Liability

Nothing in these Terms excludes or restricts liability where it would be unlawful to do so.

In particular, nothing in these Terms excludes or restricts liability for:

• death or personal injury caused by negligence;
• fraud or fraudulent misrepresentation; or
• any other liability that cannot legally be excluded or restricted.

UK consumer law expressly prevents a trader from excluding liability for death or personal injury resulting from negligence.

21.1 Consumers

If you use Torbisgo as a consumer, we do not exclude liability for losses for which we are legally responsible.

However, to the extent permitted by law, we are not responsible for losses that were not reasonably foreseeable as a result of our breach.

Torbisgo’s Services are primarily provided for personal and legitimate business-use purposes as described in these Terms.

If you are using the Services as a consumer, we are not responsible for business losses such as loss of business profits, revenue, opportunity, or commercial interruption arising from personal consumer use.

Nothing in this section limits your statutory consumer rights.

Consumer contract terms must be fair, and an unfair consumer contract term is not binding on the consumer.

21.2 Business Users

If you use Torbisgo wholly or mainly for business purposes, then, to the maximum extent permitted by applicable law, Torbisgo will not be liable for indirect or consequential losses arising solely from your business use of the Services, including loss of profits, business opportunities, or anticipated savings, except where such liability cannot legally be excluded or restricted.

Any limitation of liability applicable to business users remains subject to applicable law.

22. Your Responsibility for Losses Caused by Misuse

You may be responsible for reasonably foreseeable losses, costs, or claims arising directly from your unlawful or unauthorised misuse of Torbisgo where permitted by applicable law.

This may include misuse involving:

• intellectual property infringement;
• malicious files;
• fraudulent activity;
• deliberate security attacks; or
• material violation of our Acceptable Use Policy.

Nothing in this section requires a consumer to indemnify Torbisgo where such a requirement would be unfair or otherwise unenforceable under applicable law.

23. Consumer Rights

If you use Torbisgo as a consumer, you may have mandatory rights under applicable consumer protection law.

Nothing in these Terms is intended to:

• exclude those rights;
• restrict those rights unlawfully;
• replace statutory remedies with weaker contractual remedies; or
• prevent you from exercising rights available under applicable law.

The Consumer Rights Act 2015 provides protections relating to consumer services and digital content and also regulates fairness of consumer contract terms.

24. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, subject to any mandatory consumer protection laws that apply to you.

If you are a consumer, nothing in these Terms deprives you of protections that you are entitled to under mandatory law or of any right to bring proceedings in a court available to you under applicable law.

If you use the Services for business purposes, disputes relating to these Terms will, unless otherwise required by applicable law, be subject to the jurisdiction of the courts of England and Wales.

25. Changes to These Terms

We may update these Terms from time to time to reflect changes to:

Changes to these Terms will not retrospectively remove rights that have already arisen where applicable law prevents us from doing so.

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful, or unenforceable, that provision will be treated as modified or removed only to the extent necessary.

The remaining provisions will continue to apply to the extent permitted by law.

27. No Waiver

If Torbisgo does not immediately enforce a provision of these Terms, this does not necessarily mean that we have waived our right to enforce that provision later.

Any waiver must apply only to the specific circumstances in which it is given.

28. Assignment

You may not transfer your rights or obligations under these Terms to another person without our prior consent where such consent is reasonably required.

Torbisgo may transfer its rights or obligations in connection with a business reorganisation, merger, acquisition, sale, or transfer of the relevant business, subject to applicable law and without reducing mandatory consumer rights.

29. Entire Agreement

These Terms, together with the policies and information expressly incorporated into them, form the agreement governing your use of Torbisgo Services.

Relevant policies may include our:

• Refund and Returns Policy; and
• Acceptable Use Policy.

Each policy should be read together with these Terms.
